Triarc, Wendy's announces merger meeting date

DUBLIN, Ohio – Triarc Companies Inc., parent company of Arby’s, and Wendy’s International Inc. announced Friday that the Securities and Exchange Commission has declared the form for the merger effective.

The shareholders of both companies will receive joint proxy statement/prospectus included in the registration statement in connection with the proposed merger and will be entitled to vote at the respective companies’ shareholders’ meetings on Sept. 15.

The board of Wendy’s has approved the merger and is urging its stockholders to vote for the merger.

The merger will bring together two brands with more than 10,000 restaurants in the U.S. and approximately $12 billion in combined pro forma annual system-wide sales. Wendy’s and Arby’s will continue to operate independently with headquarters in Dublin, Ohio and Atlanta.

The new company, which will be named Wendy’s/Arby’s Group, Inc., will be incorporated in Delaware.
